Certified International System Limited ("CIS")
1. CIS's Obligations - The Service
(a) In consideration of the payment of the Price as set out in paragraph 4 below CIS shall provide the following services ("the Services"):-
(i) provide an assessment of the Client's systems and procedure in so far as they relate to the Certification procedure; and
(ii) and in so far as the Client's systems and procedures do not comply CIS shall provide general guidance and advice on the statutory requirements and provide procedural information to ensure compliance and prepare and supply manuals in respect of the same (" the Advice"); and
(iii) subject to the Client effecting the Advice given by CIS, CIS shall arrange and award of the Certificates.
2. Client Obligations
(a) The Client shall accept their Certifications within two months of a successful assessment as set out in paragraph 1(c) above. Failure to accept the Certificate shall result in the loss of the Client's Deposit in accordance with the provisions of paragraph 3(ii) below.
(b) Following the awarding of three year Certificates to the Client, the Client shall for a period of the foresaid three years accept this as contractual terms or until the Certificate(s) expires:-
(i) so far as is reasonable adhere to the Advice given by CIS under paragraph 1(a) above and any further advice given pursuant to paragraphs (ii) and (iii) below and paragraph 4; and
(ii) undertake a minimum of two internal audits in relation to the Certification in accordance with guidelines provided by CIS and report to CIS on the findings of such internal audit.
3. Payment and Price
(a) The price for the Services purchased from this website and provided by CIS shall be as laid out in the fees page, ("the Price") and is payable as set out below.
(b) Subject to paragraph 3(c) below the Price shall be paid as follows:-
(i) on acceptance of these terms and conditions the Client shall immediately pay a deposit being a sum equivalent to 30% the Price ("the Deposit") which shall be held in accordance with paragraph (c) below; and
(ii) the balancing 70% of the Price shall be payable prior to presentation of the respective manual and certificate. Upon receipt of the balance CIS will issue a Certificate valid for 3 years.
(c) The Deposit shall be held on the following terms:-
(i) In the event that the Client does not accept the Certificate the Deposit shall become non-refundable and shall be retained by CIS in full to cover administration expenses and disbursements.
(ii) In the event that the Client has signed Certified International Systems Limited’s 'sign off' but declines to accept the Certificate the 70% balance becomes payable upon request.
(d) In the event that any payments due from the Client are not paid upon the due date then CIS shall be entitled but not obliged to charge the Client interest on the overdue amount, payable by the Client on demand from the due date up to the date of actual payment, after that as well as before judgement, at a rate of 3% per annum above the base rate. Such interest shall accrue on a daily basis. CIS reserves the right to claim interest under the Late Payment of Commercial Debts (Interest) Act 1998.
4. Annual External Audits
(a) Following the Client's acceptance of the Certificate in accordance with paragraph 2(a) above, if the Client so requires in addition to the Services and CIS shall offer to the Client an annual external audit within 14 days of the anniversary of the Certificate date for a period of 3 years undertaken by CIS. (“Annual External Audit”).
(b) In the first year the fee for the Annual External Audit shall be as laid out in the fees page. In the second and subsequent years CIS shall not increase their fee by more than 5% above the fee for the previous year.
(c) Payment of the fee for the annual external audit shall be made by 4 equal quarterly installments by standing order, with the first payment commencing three months from the date on the certificate, and every three months thereafter. In the event that the Client does not pay by quarterly standing order payments a one year Certificate will be issued.
(d) The provisions of paragraph 3(d) shall apply in so far as any payments made in respect of the annual external audit shall be made after the due date.
